Terms of Service
By using Bay D LLC's services — including project development, hosting management, service hours, and the client dashboard — you agree to the terms on this page. If anything is unclear, email us and we'll explain it in plain language.
Privacy Policy
Marketing site
This website, baydllc.com, is free of any cookies or third-party services that can track your data.
Newsletter
For the purpose of our newsletter(s) via mail.baydllc.com we store your name, email, and other meta data you knowingly provide us to send you personalized emails. You can unsubscribe from a mailing list at any time via the link at the bottom of every email.
Client dashboard
When you create an account and use our client dashboard, we collect and store the personal information you provide — including your name, email address, and account credentials. We also store project data, hour entries, messages, and any content you upload or create through the dashboard.
Payment processing is handled by Stripe. Bay D LLC does not store your credit card numbers or payment credentials directly. Stripe's handling of your payment data is governed by their own privacy policy.
We do not sell, share, or provide your data to any third parties beyond Stripe for payment processing.
Data retention
Your data is retained for as long as your account is active. If you close your account or end your engagement with us, we will delete your data upon request. Email us to request data deletion.
Satisfaction Guarantee
We're real people running a small business. If something isn't right with work we've done for you, reach out and we'll work through it honestly. Our goal is for you to be happy with the work — not to hide behind fine print.
That said, we do have clear terms about how refunds and disputes work across our services. All resolutions are at Bay D LLC's sole discretion.
Project work
- Work is reviewed and signed off on a weekly basis. Weeks that have been reviewed and approved by the client are considered delivered and are not eligible for a refund.
- If a dispute arises during a weekly cycle, only the work from that specific week is eligible for review — not previously approved weeks.
- Once a project launches (goes live), the work is considered fully delivered.
- We often fix bugs after launch at no charge as a courtesy — but this is goodwill, not an obligation.
- The guarantee does not cover changes in project direction, scope additions, or requests beyond the original agreed-upon deliverables.
Hosting management
- Hosting management subscriptions are non-refundable.
- If you cancel, your service continues through the end of the current billing period. No refund is issued for the remaining time.
Service hours
- Refund eligibility for service hours is reviewed on a case-by-case basis at Bay D LLC's sole discretion.
Service Hour Terms
Hour blocks
When you purchase a block of service hours, the following terms apply:
- Minimum monthly consumption: There is a 1-hour minimum consumption per month. If fewer than 1 hour of work is performed in a given month, the difference is deducted from your block to bring the total to 1 hour. For example: if 0.5 hours of work are done, an additional 0.5 hours are deducted. If 1 or more hours of work are performed, no additional deduction applies. This prevents capacity issues from large amounts of banked, unused hours.
- Expiration: Hour blocks expire 1 year from the date of purchase. Unused hours are forfeited at expiration.
- Non-refundable: Hour blocks are non-refundable in principle. Exceptions are at Bay D LLC's sole discretion.
Monthly retainers
- Retainer hours expire at the end of each billing cycle. Unused retainer hours do not roll over.
Intellectual Property
Self-hosted projects
For projects where the client manages their own hosting, the client owns all deliverables (code, designs, content) upon final payment in full. Bay D LLC retains the right to reuse non-proprietary components and to display the work in our portfolio.
Shared and managed hosting projects
For projects hosted on Bay D LLC's shared or proprietary infrastructure, the client owns the produced content — HTML pages, linked assets, images, and copy. Bay D LLC retains ownership of the underlying infrastructure, build system, and framework.
Exiting managed hosting
If you'd like to move your site off our managed hosting, we can export your content into a standalone setup. This work is billed at our hourly rate.
Limitation of Liability
Bay D LLC's total liability for any claim arising from our services is limited to the total fees paid by the client to Bay D LLC. Bay D LLC is not liable for any consequential, indirect, incidental, or lost-profit damages, regardless of whether we were advised of the possibility of such damages.
Dispute Resolution
Any disputes arising from or related to these terms or our services will be resolved through binding arbitration in the State of Michigan, governed by Michigan law. Both parties agree to resolve disputes through arbitration rather than through court proceedings.
